As a Legal Counsel specializing in M&A and Corporate Law, you'll combine deep expertise in German corporate law with cutting-edge AI tools to deliver faster, more accurate M&A advisory and corporate services.
This isn't traditional M&A work. We're reimagining how deals get done: AI-powered due diligence that analyzes thousands of documents in hours, automated red flag identification, intelligent contract analysis, and real-time deal modeling. You'll work at the cutting edge of legal tech while handling sophisticated corporate transactions.
M&A Transactions
- Lead or support M&A transactions (share deals, asset deals, carve-outs) with AI-assisted due diligence
- Draft and negotiate SPAs, transaction documents, and ancillary agreements
- Coordinate with tax advisors, auditors, and other transaction parties
- Build reusable AI workflows for common transaction patterns (SPA analysis, red flag detection)
Corporate Governance & Structuring
- Advise on corporate structures, governance frameworks, and shareholder arrangements
- Draft articles of association, shareholder agreements, and corporate resolutions
- Handle corporate reorganizations, restructurings, and group internal transactions
- Advise on German corporate law (GmbHG, AktG, UmwG) and compliance requirements
Required Qualifications
- German law degree (Staatsexamen - both exams required)
- 3-6 years PQE in M&A and corporate law at top-tier German law firms
- Strong transaction experience (mid-market deals, complex corporate structures)
- Excellent drafting skills in German and English
- Deep knowledge of German corporate law and M&A practice
Ideal Background
- Experience with private equity, venture capital, or corporate M&A transactions
- Exposure to cross-border deals and international transaction structures
- Understanding of tax considerations in M&A and corporate structuring
- Experience coordinating complex multi-party transactions
